Acceptance of Terms
By accessing propaxio.com or engaging Propaxio (“Propaxio,” “we,” “us,” or “our”) for services, you agree to be bound by these Terms of Service. If you do not agree, do not use the website or our services.
For service engagements, these terms are supplemented by a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed between Propaxio and the client. Where there is a conflict between these terms and an executed MSA/SOW, the MSA/SOW controls.
Description of Services
Propaxio provides performance marketing services for clients operating in regulated finance verticals — including but not limited to prop trading firms, CFD and forex brokers, trading educators, and fintech platforms. Services may include:
- Paid media planning, buying, and optimization
- SEO strategy, content development, and technical SEO
- Reputation management and platform compliance review
- Server-side tracking and attribution architecture
- Creative development and copywriting
- Affiliate and influencer program management
- Strategic consultation and growth advisory
Specific services, deliverables, timelines, and pricing are defined in each engagement's Statement of Work.
Engagement Process
Engagements typically begin with a free strategy session, followed by a written proposal and Statement of Work. Work commences upon signature of the SOW and, where applicable, payment of an initial retainer or fee. Propaxio reserves the right to decline any engagement at our discretion.
Fees and Payment
Fees are specified in the applicable Statement of Work and may be structured as monthly retainers, project fees, performance-based compensation, or a combination. Unless otherwise agreed in writing:
- Invoices are payable within 14 days of issue unless otherwise specified
- Late payments may accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower
- Ad spend, third-party tool subscriptions, and pass-through costs are billed separately from service fees
- Disputed amounts must be raised in writing within 14 days of invoice receipt
Client Responsibilities
To enable effective delivery, clients are responsible for:
- Providing accurate and timely information about business operations, target audiences, and historical performance data
- Granting necessary access to ad accounts, analytics platforms, CRM systems, and other tools required for the engagement
- Reviewing and providing timely feedback on deliverables, creative assets, and strategic recommendations
- Maintaining compliance with applicable laws, regulations, and platform policies as they relate to the client's business
- Paying ad spend, third-party tool costs, and other pass-through expenses promptly
Intellectual Property
Each party retains ownership of pre-existing intellectual property brought to the engagement.
Deliverables created specifically for the client during the engagement (e.g., ad creative, landing page copy, tracking implementations) become the client's property upon full payment. Propaxio retains a perpetual, non-exclusive right to use these deliverables for portfolio, case study, and marketing purposes in anonymized form.
Propaxio retains ownership of its frameworks, methodologies, templates, internal tools, and operating systems used to deliver services, including the compliance review process and tracking architecture patterns.
Confidentiality
Both parties agree to treat as confidential any non-public business information shared during the engagement, including financial data, marketing performance metrics, strategic plans, and customer information. Confidentiality obligations survive termination of the engagement.
Notwithstanding the above, Propaxio may share aggregated, anonymized performance data in case studies and marketing materials, provided the client cannot be reasonably identified from the published information.
No Guarantee of Results
While Propaxio applies industry best practices and proven methodologies, marketing outcomes depend on numerous factors outside our control — including market conditions, competitive dynamics, platform algorithm changes, client product-market fit, and macroeconomic shifts. Propaxio makes no guarantee of specific performance metrics, revenue outcomes, or return on ad spend, except as expressly stated in a written agreement.
Historical case study results are not predictive of future performance. Each engagement is evaluated on its individual context and constraints.
Compliance and Platform Policies
Propaxio operates with a compliance-first approach to ad platform policies. We make commercially reasonable efforts to ensure all creative, targeting, and account structures comply with current platform policies and applicable regulations at the time of launch.
However, platform policies and regulatory requirements change frequently and are interpreted at the discretion of the platforms and regulators. Propaxio is not liable for ad account suspensions, policy violations, or regulatory actions where:
- Policies or regulations change after deliverables are approved and launched
- The client provides inaccurate or incomplete information about their business
- The client modifies deliverables after delivery without Propaxio review
- Platform enforcement is inconsistent or discriminatory against the client's vertical
We do not provide legal or regulatory advice. Clients are responsible for engaging qualified counsel for compliance with applicable laws and regulations.
Termination
Either party may terminate an engagement in accordance with the notice provisions in the applicable Statement of Work. In the absence of a specific provision, either party may terminate with 30 days written notice.
Either party may terminate immediately if the other party:
- Materially breaches the terms and fails to cure within 14 days
- Becomes insolvent or enters bankruptcy proceedings
- Engages in conduct that would expose the other party to legal or regulatory risk
Upon termination, the client pays for all services rendered and commitments made through the termination date. Propaxio will provide a final handover of work product and access transitions as commercially reasonable.
Limitation of Liability
To the maximum extent permitted by law, Propaxio's total cumulative liability for any claim arising out of or relating to these terms or an engagement shall not exceed the total fees paid by the client to Propaxio in the three months preceding the event giving rise to the claim.
In no event shall Propaxio be liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability, in which case the above limitations apply to the maximum extent permitted by applicable law.
Indemnification
Each party agrees to indemnify and hold the other harmless from third-party claims arising from the indemnifying party's breach of these terms, gross negligence, or willful misconduct. Clients additionally agree to indemnify Propaxio for claims arising from the client's business operations, products, services, or violations of law unrelated to Propaxio's direct services.
Governing Law and Disputes
These terms are governed by the laws of the jurisdiction in which Propaxio is incorporated, without regard to conflict of law principles. Any dispute arising under these terms shall first be attempted in good faith through direct negotiation between the parties.
If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body, with the exception that either party may seek injunctive relief in court to protect intellectual property or confidential information.
Changes to These Terms
We may update these Terms of Service from time to time. Material changes will be communicated by updating the “Last updated” date and, for active clients, by direct notification. Continued use of the website or services after changes take effect constitutes acceptance of the updated terms.
